Job description

We are seeking a detail-oriented Senior Attorney with 8+ years of experience to join our legal team in Bethesda, Maryland. This role includes responsibility for working across the company providing legal advice and representation on a wide range of transactional matters, including supporting the negotiation and structuring of various commercial transactions, providing strategic legal guidance on commercial agreements and government contracts, drafting sales contracts and vendor agreements, ensuring compliance with contractual obligations, and resolving commercial disputes through means ranging from informal negotiation to litigation.  This role would also provide legal advice and representation on regulatory compliance including export control, administrative law, mergers and acquisitions, corporate governance, international law, nuclear energy law and policy, employment law, ethics, and fiscal law. The role will include extensive engagement with executives and managers across the company.

Core Responsibilities

  • Draft, review, and negotiate a wide variety of commercial agreements, e.g., sales contracts, vendor agreements, partnership agreements, joint ventures, license agreements, and non-disclosure agreements.
  • Ensure that the company’s practices comply with legal and regulatory requirements.

  • Provide strategic legal counsel on commercial agreements, government contracts, and regulatory matters.

  • Identify and assess potential legal risks associated with commercial activities and develop strategies to mitigate those risks.

  • Resolve disputes with customers, vendors, partners and other third parties, and manage litigation when needed.

  • Assist with issues relating to administrative law, mergers and acquisitions, corporate governance, international law, nuclear energy law and policy, employment law, ethics, and fiscal law.

  • Manage outside counsel when specialized expertise is required.

  • Support the company’s compliance functions, including export control compliance, as needed.

  • Assist with legal department initiatives, including process improvements and knowledge management.

Ideal qualifications

All candidates must meet the following minimum requirements in order to be considered for this opportunity. 

 

Required Qualifications:

  • JD from an accredited law school and active bar membership

  • 8+ years of legal experience, with demonstrated legal expertise and experience in transactions with commercial entities, government contracts, regulatory matters including export control, financial assistance law, negotiations, and dispute resolution

  • Significant experience in litigation, administrative law, corporate governance, mergers and acquisitions, and international law strongly preferred

  • Significant experience in nuclear energy law or other areas of energy law strongly preferred

  • Strong analytical mindset with exceptional attention to detail

  • Outstanding written and verbal communication skills

  • Significant experience advising government or corporate executives

  • Strong business acumen and ability to balance legal risk with business objectives

  • Excellent contract drafting, reviewing, and negotiation skills

     

Competitive salary range: $140K - $195K, plus bonus (The provided salary information is a guideline. Your offered salary is based upon experience, qualifications and location)
