Criterion 8 (1) Directors representing major shareholders of the Company, or its parent company may be considered independent, provided these shareholders do not take part in the control of the Company. Nevertheless, beyond a 10% threshold in capital or voting rights, the Board, upon a report from the compensation and nominating committee, must systematically review the qualification of a Director as independent in light of the Company’s capital structure and the existence of a potential conflict of interest. (1) For the purposes of this analysis, and considering the structure of the Company’s shareholding, directors representing, or appointed on the proposal of, the French State are not deemed to meet this criterion.
